Responsibilities

Prepare California and out-of-state corporate documents with appropriate governmental agencies
Maintain corporate minute books and corporate records database
Prepare board and shareholder resolutions and various other corporate document draft, including bylaws, organizational actions, operating agreements, shareholder agreements, minutes
Negotiate, revise, and draft various legal documents, including agreements, contracts, terms of use, policy
Manage general administrative matters related to the Legal Department
Maintain document management of legal files
Perform due diligence and other related support with various corporate transactions
Conduct legal research
Maintain, enforce, and defend IP related matters
Manage outside legal firms
Implement, coordinate, contribute and assist with other projects as assigned
Reports directly to the Company’s General Counsel

Requirements

J.D. from accredited school with excellent academic credentials
Must be a member of California Bar
3-7 years of experience practicing law, at a law firm or in-house
Self-motivated, with the ability to work independently and to work collaboratively as part of a team in a busy, fast-paced environment
Business minded and problem solver mentality. Ability to creatively come up with appropriate solution by proactively analyzing the risk and provide business-minded advice and recommendation
Strong written and verbal communication skills, especially negotiation skills

Preferred Qualifications

Prior work experience practicing law as in-house counsel for Technology or E-commerce company
Ability to respond effectively under pressure and successfully manage a diverse and demanding workload
