The General Counsel will work on contract negotiations, real estate leases, in-house litigation matters, mergers & acquisitions, closings, management of Intellectual Property and other special projects. Qualified candidates must have the ability to manage internal staff, outside legal counsel and departmental budget.
The incumbent must be proficient in franchising, commercial real estate acquisitions and financing, title insurance, as well as commercial leasing. This individual must have exceptional organizational and communication skills, ability to make executive level presentations and to work collaboratively with other department executives. Must be able to research unique legal issues impacting the organization by identifying applicable statues, judicial decisions, and codes.
ESSENTIAL RESPONSIBLITIES / TASKS
Understand and mitigate key elements of exposure for the organization in terms of contractual agreements, financing, lease negotiation, insurance claims, property management and employment matters
Participate in matters of negotiations for any potential mergers and acquisitions, conducting due diligence as necessary
Keep abreast of legislative changes which may impact the organization and recommend appropriate course of action
Conduct themselves as organizational spokesperson in for liability claims, class actions, EEOC
Ensure that organizational recordkeeping meets the requirements of auditors, banks, investors, franchisors, and government agencies
Assist executive leadership with reviewing contracts, contract negotiations, and lease amendments
Manage departmental budget and outside legal expenses
Working collaboratively with department leaders, review contracts, statement of work, and agreement terms and conditions
Assist with negotiations of lines of credit financing terms
