Reporting to the General Counsel, the Assistant General Counsel (“AGC”) is responsible for drafting and negotiating commercial contracts. Additionally, the AGC collaborates closely with the real estate acquisition team during the development of new projects. The AGC also supports research related to the creation of policies and procedures affecting the entire organization and offers guidance on regulatory issues. Collaboration and diverse perspectives are highly valued. Assistant General Counsel Location: New York, NY (Hybrid) Job type: Full time Salary range: 105,000 -115,000 USD Key Responsibilities: Draft and negotiate commercial contracts with vendors and external counsel, utilizing a contract management software system. Review leases and purchase and sale agreements, interpreting provisions to ensure compliance with terms and conditions. Respond to internal requests for legal advice and counsel. Participate in internal real estate committee meetings to monitor project developments. Oversee and track insurance requirements, maintaining documentation in a database. Ensure all contracts meet current insurance requirements and supervise paralegal support for insurance-related tasks. Research compliance requirements related to contract documents between the organization and regulatory bodies. Research and draft policies and procedures to ensure procurement compliance with federal, state, and city regulations. Collaborate with senior legal counsel to review current policies and procedures, and develop action plans to update and revise them in coordination with relevant teams. Support Enterprise Risk Management workgroups focused on compliance. Prepare risk dashboards and presentations for senior leadership meetings. Participate in weekly departmental team meetings. Engage with leadership across the organization. Attend board meetings as needed. Serve as the legal liaison for various organizational workgroups. Undertake other duties relevant to the role. Education, Certifications, and Licenses: Juris Doctor (JD) degree from an accredited law school. Admission to the New York State Bar or eligibility for bar admission through waiver. Required Skills and Experience: At least 4 years of legal experience in government, law firm, or nonprofit settings. Strong proficiency with technology, including enterprise software, SaaS platforms, and tools such as contract management systems or project management software (e.g., Monday.com). Demonstrated sensitivity to or experience with issues related to domestic violence, homelessness, poverty, trauma, particularly within underserved communities. Excellent legal, analytical, administrative, written, and verbal communication skills. Advanced contract drafting and negotiation skills for goods and services. Experience drafting and negotiating contracts valued up to $20 million or more. Strong interpersonal skills, including emotional and social intelligence. Ability to work independently, manage multiple priorities, take initiative, and consistently meet deadlines. Expertise in researching legal issues related to program operations, including legislative and regulatory matters affecting service delivery. Strong legal research skills, preferably demonstrated by drafting legislation and public policy. Ability to provide legal guidance to business units on a broad range of issues affecting operational decisions. Some familiarity with municipal government contracts or other complex commercial agreements. Interest in mission-driven, nonprofit work. Effective written and oral presentation skills. 78826 |
